JOB OVERVIEW

This paralegal position provides critical support for securities compliance and equity administration matters. The role ensures accurate maintenance of corporate records, facilitates regulatory compliance, and manages stock administration processes. The paralegal will collaborate closely with the legal team, finance department, and external counsel to support the company’s securities-related needs.

JOB DUTIES

  • Process equity grants, option exercises, stock transfers, and other equity transactions in accordance with applicable equity compensation plans and securities laws

  • Assist with preparation and filing of SEC reports and forms, including Forms 3, 4, 5, S-8, and other securities compliance filings as required

  • Manage and organize corporate governance documentation, including stock awards, option agreements and related equity documents

  • Coordinate with transfer agents, stock plan administrators, and third-party service providers to facilitate equity administration processes and resolve discrepancies

  • Support administration of equity compensation plans

  • Prepare board resolutions, stockholder consents, and other board and stockholder materials related to equity issuances, option grants, and corporate actions

  • Track and monitor compliance with federal and state securities laws, regulations, and filing deadlines to ensure timely and accurate submissions

  • Support equity-related aspects of mergers, acquisitions, financing transactions, and due diligence activities by preparing and organizing relevant documentation

  • Respond to inquiries from employees, stockholders, and external parties regarding equity matters, providing accurate information and guidance as appropriate

  • Maintain accurate records, documentation, and reporting related to securities matters and equity administration activities

EXPERIENCE, QUALIFICATIONS, & SKILLS

Required Experience, Qualifications, and Skills

  • Paralegal certificate or bachelor’s degree

  • 3-6 years of experience in equity administration within a public company

  • Knowledge of federal and state securities laws and SEC filing requirements

Preferred Experience, Qualifications, and Skills

  • Proficiency with stock plan administration platforms (e.g., Fidelity, Shareworks, Certent)

  • Strong attention to detail and organizational skills

  • Ability to manage multiple deadlines and priorities

  • Familiarity with Section 16 reporting requirements

Compensation Range: $110K - $130K
